Securitization is a financial technique whereby assets are sold to a company specially set up for that purpose, which then finances the purchase price for the assets by issuing securities.
Securitization took off in a big way in the Netherlands in the 1990s and is one of the alternative financial instruments for which there is an increasing amount of interest. Specialist knowledge of various areas of law is needed to draw up and assess the detailed securitization documents. In addition, the sale documentation needs to be drawn up, rating agencies must be engaged and often a prospectus is required for issuing the securities.
CMS Derks Star Busmann has considerable experience and knowledge in supervising a securitization transaction. We can provide expert assistance to both the originator and the issuer.
